TERMS & CONDITIONS: archv. agency
1. ACCEPTANCE OF TERMS
By engaging archv. agency (the "Agency") for services, the Client agrees to be bound by these Terms & Conditions. No work will commence, and no resources will be allocated until these terms are accepted and payment is verified.
2. PAYMENT TERMS & COMMENCEMENT
Upfront Payment Requirement: The Agency operates on a 100% upfront payment model. Work on any project (including Content Production, Web Dev, UI/UX, Branding, 3D CGI, and AI Integration) will not begin until the full project fee has been received and cleared in the Agency’s account.
Retainer Services: For monthly consulting, analytics, or maintenance retainers, payment is due in full prior to the start of the service month.
3. INTELLECTUAL PROPERTY & OWNERSHIP
Transfer of Ownership: All rights, titles, and interests in the final deliverables are retained by the Agency until the Client has fulfilled all payment obligations. The Client shall only own the final work after full payment is received.
Usage Rights: Until final delivery and payment, any drafts, 3D models, or concepts shared with the Client are for review purposes only and may not be published or used commercially.
Portfolio Rights: The Agency reserves the right to display all work created in its professional portfolio, unless a specific Non-Disclosure Agreement (NDA) is signed by both parties.
4. RETAINER CANCELLATION & REFUND POLICY
10-Day Notice Period: To cancel or modify a monthly retainer, the Client must provide written notice at least 10 days prior to the start of the next billing cycle.
No Refund Policy: If notice is given less than 10 days before the start of the next cycle, the Client is responsible for the full payment of that cycle. No refunds will be issued for payments already processed or for cycles that have already begun.
5. AI COMPLIANCE & THIRD-PARTY SERVICES
Dependency: The Agency’s AI Integration and Content services rely on third-party platforms (e.g., OpenAI, Midjourney, Anthropic). The Agency is not liable for disruptions, API changes, or service terminations caused by these third parties.
Output Accuracy: The Client acknowledges that AI-generated outputs can occasionally be inaccurate. Final verification of AI-integrated content or code is the responsibility of the Client.
Copyright of AI Assets: The Agency makes no guarantees regarding the copyrightability of AI-generated elements under current or future legislation, as the legal landscape of AI-generated IP is subject to change.
